VADAC Constitution (MOI) & Subscribers

VADAC is registered as a Non-Profit Company (NPC), existing solely to public benefit and not for private gain. Our focus is on community safety, infrastructure improvement, and transparent governance.

Subscribers: Subscribsion membership is open to qualifying residents, organisations, and stakeholders.
Transparency: A Subscribers Register is maintained at all times. Subscribers do not own or profit from VADAC’s assets.

Board of Directors & Ethical Leadership

VADAC is governed by a Board of at least three directors, incorporated based on specific needs of VADAC. They must act as role models for the community, demonstrating Integrity, Transparency, Accountability, Respect, and Professionalism.

Fiduciary Duties: Directors must act in good faith, exercise care, skill, and diligence, and act strictly in the best interests of VADAC.
Conflict of Interest: All personal or business interests must be declared. Directors must avoid situations where personal gain conflicts with VADAC and recuse themselves when necessary.
Confidentiality: Directors are required to protect sensitive information and must not disclose internal matters without proper authorisation.
Compliance: Complete compliance with The Companies Act, VADAC's MOI, and Board resolutions is mandatory.

Financial Governance

We believe in strict financial controls to ensure all community funds are protected and utilised effectively.

All funds must be used strictly for VADAC’s defined objectives.
Dual signatories are required for all transactions.
Annual financial statements must be prepared and officially presented to subscribers.
No director may authorise unapproved expenditure.
Any irregularities or suspected misconduct must be reported immediately.

Liability, Indemnity & Enforcement

Violations of the Code of Conduct are taken seriously and may result in investigation, suspension, removal from office, or reporting to authorities.

Directors acting in good faith and within their mandate are indemnified by the organisation.
Directors are held personally liable for fraud, gross negligence, or intentional misconduct.

Special Protection Clause

Each director of VADAC NPC is individually responsible for their own actions, decisions, and compliance. No director shall be held liable for the personal, business, financial, legal, or ethical conduct of any other director, whether such conduct occurs before, during, or after their term of office. Accountability remains individual, not collective.
